Overview
This website is operated by Vernigo. Related software applications (sometimes referred to as “apps”), data, SMS, APIs, email, chat and telephone correspondence, buttons, collectively, all of these items shall be referred to herein as the “Services”.

The Services are offered to you conditioned upon your acceptance of the terms, conditions, and notices set forth below (collectively, this “Agreement”). By accessing or using the Services, you agree to be bound by this Agreement and states that you have read and understood its terms. If you do not accept all of these terms and conditions, you are not authorized to use the Services. If you have a Vernigo account and wish to terminate this Agreement, you can do so by closing your account and no longer accessing or using the Services.

Vernigo holds the right to change or modify these terms and conditions, and you understand and agree that your continued access or use of the services after such change signifies your acceptance of the updated or modified terms.

General Use
By using the Service, You promise that You are at least 18 years of age. If you are not 18 yet, you may not access or use any part of the Service and you are authorized by Your employer to enter into this agreement on behalf of said employer.
In these Terms we are granting You a limited, personal, non-exclusive and non-transferable license to use and to display the Materials and to access and use the Service for individual, consumer purposes (“Permitted Purposes”); Your right to use the Materials is conditioned on Your compliance with these Terms. You have no other rights in the Service or any Materials and You may not modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, enhance or in any way exploit any of the Service or Materials in any manner.
Unfortunately, if You breach any of these Terms the above license will terminate automatically and You must immediately destroy any downloaded or printed materials (and any copies thereof).

Account Registration
To use our service, you must register for an account providing a valid google account. Upon registration, you must subscribe to a paid plan to continue using our service.

Subscription Plans and Payment
We offer various subscription plans with recurring monthly fees. Details of these plans are available on our website. Payments are processed through Stripe. By subscribing to a plan, you authorize us to charge the subscription fee through the provided payment method. Your subscription will automatically renew at the end of each billing cycle unless you cancel the auto-renewal through your account settings. All fees are non-refundable except as required by law or as explicitly stated in our website.

Intellectual Property
All intellectual property rights in the content of our service and the technology used for its provision are owned by us or our licensors. Your use of our service does not grant you ownership in our service or the content or technology provided through it.

SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

Termination
We reserve the right to terminate or suspend your account if you violate these Terms and Conditions or for any other reason at our sole discretion.

Disclaimer of Warranties
We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error, bug or virus free and shall not be held responsible in any way or by any means, either directly or indirectly, for any communications difficulties, access delays, any interruption and/or data delivery, non-delivery, mis-delivery, corruption, destruction, or events beyond our reasonable control. We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable. You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.
In no case shall Vernigo, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.
